Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the BuddyBubble service, websites, and applications (collectively, the “Service”) provided by BuddyBubble and its affiliates (“we,” “us,” or “our”). By creating an account, using the Service, or clicking to accept, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

The Service

BuddyBubble provides tools to help communities and teams collaborate, including messaging, task or card features, and optional public or storefront experiences, as described in the product. We may modify, suspend, or discontinue features; where material changes affect your use, we will use reasonable efforts to provide notice as appropriate.

Accounts and eligibility

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account, except where caused by our breach of security. You may not use another user’s account without permission. We may refuse registration or suspend accounts that violate these Terms or create risk to the Service or other users.

User conduct

You agree not to:

  • Violate applicable law or infringe the rights of others, including privacy and intellectual property rights;
  • Send malware, attempt to gain unauthorized access, or probe or stress systems without authorization;
  • Harass, defraud, or abuse other users, or use the Service to send spam or unlawful content;
  • Reverse engineer, decompile, or try to extract source code of the Service except to the extent permitted by law;
  • Resell or redistribute the Service without our written permission, or use the Service in competition with us in an unauthorized way.

We may investigate violations and work with law enforcement as permitted by law.

Organization workspaces

Some features are controlled by a workspace or organization. Administrators may configure settings, invite or remove members, and decide how data is used within that workspace. Your use of shared workspaces is also subject to policies your organization may impose.

SMS/Text Messaging Terms

If you enroll in or receive text messages from BuddyBubble or on behalf of a host or workspace, the following terms apply in addition to these Terms and our Privacy Policy:

  • Message and data rates may apply.
  • Message frequency varies.
  • Reply STOP to cancel or opt-out.
  • Reply HELP for customer support.

Carriers are not liable for delayed or undeliverable messages. Participating mobile carriers’ support for programs may change; availability is subject to your device and service plan. Consent to receive text messages is not a condition of purchasing other goods or services, except where the law allows a different standard for a particular program. Intellectual property

The Service, its branding, and our content are owned by us or our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal or community purposes. You retain ownership of content you submit; you grant us a worldwide license to host, use, reproduce, modify, and display your content as needed to provide and improve the Service, in line with your settings and applicable law.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE OR OUR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM PERMITTED BY LAW.

Indemnity

You will defend, indemnify, and hold harmless BuddyBubble and its officers, directors, employees, and agents from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service, or your violation of these Terms or law, except to the extent caused by our willful misconduct.

Termination

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, risk to the Service, legal reasons, or non-payment where applicable. Provisions that by their nature should survive (including limitations of liability, indemnity, and governing law) will survive termination.

Governing law; disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, except where local consumer rights require otherwise. You agree to submit to the personal jurisdiction of courts in Delaware for any disputes, unless applicable law requires a different forum.

Changes to these Terms

We may update these Terms. We will post the new Terms on this page and update the “Last updated” date on the Service. If changes are material, we may provide additional notice. Your continued use after the effective date constitutes acceptance of the updated Terms, except where your explicit consent is required.
